1. Acceptance of Terms

By accessing or using Provio ("the Service"), operated by Provio Technologies Pty Ltd ("Provio", "we", "us", or "our"), an Australian company, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Provio provides a digital evidence management platform that enables organizations to capture, store, verify, and manage forensic-grade digital evidence. The Service includes cryptographic signing, RFC 3161 timestamping, and chain-of-custody tracking.

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Ensuring that evidence you upload complies with applicable laws
  • Obtaining all necessary consents for evidence containing personal data

4. Acceptable Use Policy

You agree not to use the Service to:

  • Upload content that is illegal, harmful, or infringes on third-party rights
  • Attempt to tamper with, reverse-engineer, or circumvent cryptographic protections
  • Access other organizations' data without authorization
  • Use the Service in a manner that could damage, disable, or impair it
  • Use automated tools to scrape, crawl, or extract data from the Service without prior written consent
  • Interfere with or disrupt the integrity or performance of the Service or its infrastructure
  • Transmit viruses, malware, or other harmful code through the Service
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity

We reserve the right to investigate and take appropriate action against any violation of this Acceptable Use Policy, including suspending or terminating your account and reporting to law enforcement authorities where appropriate.

5. Intellectual Property Rights

The Service, including its software, design, text, graphics, logos, and all underlying technology, is the property of Provio Technologies Pty Ltd and is protected by Australian and international intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

You retain all ownership rights to the evidence and data you upload to the Service. By uploading content, you grant Provio a limited, non-exclusive licence to process, store, and transmit that content solely for the purpose of providing the Service to you. We do not claim any ownership over your content.

6. Service Availability

We strive to maintain a high level of availability for the Service. While we target 99.9% uptime for our core evidence storage and verification services, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will provide reasonable advance notice where practicable)
  • Emergency maintenance to address security vulnerabilities or critical issues
  • Factors beyond our reasonable control, including third-party service outages and force majeure events

Enterprise plan customers may be eligible for a Service Level Agreement (SLA) with specific uptime commitments and service credits. Contact sales@provio.com.au for details.

7. Limitation of Liability

To the maximum extent permitted by applicable law, including the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)):

  • Provio shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service, including but not limited to loss of profits, data, business opportunities, or goodwill, even if we have been advised of the possibility of such damages.
  • Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to Provio in the twelve (12) months immediately preceding the event giving rise to the claim.

While we take extensive measures to ensure evidence integrity, Provio does not provide legal advice and makes no guarantees regarding the admissibility of evidence in any legal proceeding. You should seek independent legal advice regarding the use of digital evidence in your jurisdiction.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement.

8. Indemnification

You agree to indemnify, defend, and hold harmless Provio Technologies Pty Ltd, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service or any activity under your account
  • Your violation of these Terms or any applicable law or regulation
  • Your infringement of any third-party rights, including intellectual property rights or privacy rights
  • Any content you upload, store, or transmit through the Service

This indemnification obligation will survive the termination of these Terms and your use of the Service.

9. Termination

Either party may terminate this agreement at any time:

  • By you: You may close your account at any time by contacting us or using the account settings. Provio is currently provided free of charge, so no fees or refunds apply when you close your account.
  • By us: We may suspend or terminate your access to the Service immediately if you breach these Terms, engage in conduct that we reasonably believe is harmful to other users or the Service, or fail to pay applicable fees after reasonable notice.
  • For convenience: We may discontinue the Service with at least 90 days' prior written notice. In such cases, we will provide a pro-rata refund for any prepaid and unused fees.

Upon termination, you will have 30 days to export your data. After this period, we may delete your data in accordance with our data retention policy, except where retention is required by law.

10. Dispute Resolution and Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be resolved as follows:

  1. Negotiation: The parties shall first attempt to resolve any dispute through good-faith negotiation for a period of not less than 30 days from written notice of the dispute.
  2. Mediation: If the dispute is not resolved through negotiation, either party may refer the dispute to mediation administered by the Australian Disputes Centre (ADC) in Sydney, New South Wales.
  3. Litigation: If the dispute is not resolved through mediation within 60 days of referral, either party may commence proceedings in the courts of New South Wales, Australia. Each party irrevocably submits to the exclusive jurisdiction of those courts.

Nothing in this clause prevents either party from seeking urgent injunctive or interlocutory relief from a court of competent jurisdiction.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by email or through the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and close your account.

12. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Provio regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control.
